By attending SIFF events, you grant permission to SIFF to use your name, voice, likeness and biographical data and any statements you provide to SIFF, without limitation, for promotional or other purposes without further permission or compensation to you. You are granting certain rights to SIFF permanently, and you cannot revoke these rights. By granting these rights, SIFF can use photographs, videos and audio recordings of you. Also, SIFF can let other organizations use these for promotional or other purposes related to SIFF. However, SIFF has no obligation to feature you.

4. Trademarks

SIFF, SIFF CINEMA EGYPTIAN, SIFF FILM CENTER, SIFF CINEMA UPTOWN, SEATTLE INTERNATIONAL FILM FESTIVAL, SIFF EDUCATION, SIFFCAST, SIFF CHANNEL, and our logos, our product or service names, our slogans and the look and feel of the Services are trademarks of SIFF and may not be copied, imitated or used, in whole or in part, without our prior written permission. All other trademarks, registered trademarks, product names and company names or logos mentioned on the Services are the property of their respective owners. 5. Feedback

You may voluntarily post, submit or otherwise communicate to us any questions, comments, suggestions, ideas, original or creative materials or other information about SIFF or our Services (collectively, “Feedback”); provided, official submissions to SIFF are not regarded as Feedback. You understand that we may use such Feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to you, including, without limitation, to develop, copy, publish, or improve the Feedback in SIFF’s sole discretion. You understand that SIFF may treat Feedback as nonconfidential.

6. Indemnification

To the fullest extent permitted by applicable law, you will indemnify, defend and hold harmless SIFF and our officers, directors, agents, partners and employees (individually and collectively, the “SIFF Parties”) from and against any losses, liabilities, claims, demands, damages, expenses or costs (“Claims”) arising out of or related to (a) your access to or use of the Services; (b) your Feedback; (c) your violation of these Terms; (d) your violation, misappropriation or infringement of any rights of another (including intellectual property rights or privacy rights); or (e) your conduct in connection with the Services. You agree to promptly notify the SIFF Parties of any third-party Claims, cooperate with the SIFF Parties in defending such Claims and pay all fees, costs and expenses associated with defending such Claims (including, but not limited to, attorneys' fees). The SIFF Parties will have control of the defense or settlement, at SIFF's sole option, of any third-party Claims. This indemnity is in addition to, and not in lieu of, any other indemnities set forth in a written agreement between you and SIFF or the other SIFF Parties.

7. Payment

SIFF offers for sale Memberships, Gift Cards, Tickets, Passes, and other goods and services (collectively “Products”). Additionally, SIFF accepts donations (collectively “Donations”).

When purchasing Products or making Donations with a credit card, you will provide accurate and up-to-date payment information. We have contracted with a third-party payment processor to facilitate credit card transactions. When you purchase Products or make Donations with a credit card, you will provide your payment details and any additional information required to complete the transaction directly to our third-party payment processor. Online payment transactions are subject to validation checks by our payment processor and your card issuer and we are not responsible if your card issuer declines to authorize payment for any reason. For your protection, our payment processor uses various fraud prevention protocols and industry standard verification systems to reduce fraud and you authorize it to verify and authenticate your payment information. Please note, it is possible that your card issuer may charge you an online handling fee or processing fee. We are not responsible for this. In some jurisdictions, our payment processor may use third parties under strict confidentiality and data protection requirements for the purposes of payment processing services. You will have sufficient funds or credit available upon initiating any transaction with SIFF to ensure the transaction amount will be collectible by us.

Unless otherwise specified, prices quoted are exclusive of: (a) the costs of shipping or carriage to the agreed place of delivery; and (b) value added tax and any other tax or duty which (where applicable) must be added to the price payable. You will pay the taxes and shipping or carriage charges specified by us.

8. Ordering & Availability

All orders of Products (“Orders”) must be for your personal use only. By purchasing Products from SIFF, you hereby agree not to resell or distribute such products for any commercial purposes. All Orders are subject to our acceptance or rejection based on product availability, your compliance with this Agreement or any other reason as determined in our sole discretion. For instance, if we have reason to believe that your Order is not for personal use, we reserve the right to reject or cancel any Order that you place. We also reserve the right, in our sole discretion, to take steps to verify your identity to process your Order. We will either not charge you or refund the charges for Orders that we cancel or do not process.

9. Refunds and Exchanges

Unless otherwise stated in writing, Gift Cards, Memberships, Tickets, and Passes are non-refundable and non-exchangeable. SIFF is not responsible for lost or stolen Gift Cards, Tickets, or Passes.

10. Memberships

A Membership is valid for 12 months from the date of purchase.

Memberships are solely for the individuals whose names are included when the Order for the Membership is placed. Memberships cannot be transferred or shared with any other individuals. Attempting to share a Membership may result in cancellation of your membership without refund.

Gift Memberships may be purchased on behalf of an individual and transferred to that individual by providing the individual’s name and email address to SIFF.

The benefits of Membership are subject to change and availability. Additional information about our Membership program can be found on SIFF’s Membership page.

11. Gift Cards

Gift Cards can be used online or at the Box Office for Tickets, Passes, Memberships, and other items we may sell through our ticketing provider. Gift Cards are not redeemable for concessions sales.

Gift Cards are non-refundable, do not expire and do not have fees. SIFF is not responsible for, and will not replace, lost or stolen Gift Cards.

12. Tickets

When you purchase a Ticket, you are purchasing a non-exclusive, transferable, non-sublicensable, revocable license to enter the SIFF Year-Round Program event or SIFF Film Festival event for which the Ticket was issued. Violation of these Terms, including our harassment policy found in Section 39, may result in revocation of a Ticket without prior notice. Tickets are property of SIFF and the unauthorized duplication of a Ticket is a violation of federal law. Additional restrictions applying to Tickets can be found on SIFF’s Cinema Box Office page.

13. Passes

When you purchase a Festival Pass, you are purchasing a non-exclusive, non-sublicensable, revocable license to enter the SIFF Film Festival event for which the Festival Pass was issued.

When you purchase a Year-Round Pass, you are purchasing a non-exclusive, non-sublicensable, revocable license to enter regular priced screening (valued at $14 or less) which are part of the SIFF Year-Round Program.

Unless otherwise stated in writing, all Passes are non-transferable. Violation of these Terms may result in revocation of a Pass without prior notice. Passes are property of SIFF and the unauthorized duplication of a Ticket is a violation of federal law. Additional restrictions applying to Passes can be found on SIFF’s Passes page.

14. Vouchers

Prior to the expiration date printed on a Voucher, one Voucher may be exchanged for most regularly priced Tickets at SIFF Cinema Venues or other venues where the SIFF Film Festival is being held, depending on the type of Voucher.

For additional information, including questions about which programs are eligible for voucher use, please email info@siff.net.

15. Disclaimers

Your use of our Services is at your sole risk. Except as otherwise provided in a writing by us, our Services and any content therein are provided “as is” and “as available” without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. In addition, SIFF does not represent or warrant that our Services are accurate, complete, reliable, current or error-free. While SIFF attempts to make your use of our Services safe, we cannot and do not represent or warrant that your use of our Services is without risk of injury, death, or property damage or that our Service or servers are free of viruses or other harmful components. You assume the entire risk as to the quality and performance of the Services.

16. Limitation of Liability

To the fullest extent permitted by applicable law, SIFF and the other SIFF Parties will not be liable to you under any theory of liability—whether based in contract, tort, negligence, strict liability, warranty, or otherwise—for any indirect, consequential, exemplary, incidental, punitive or special damages or lost profits, even if SIFF or the other SIFF Parties have been advised of the possibility of such damages.

The total liability of SIFF and the other SIFF Parties for any claim arising out of or relating to these Terms or our Services, regardless of the form of the action, is limited to the greater of $50 or the amount paid by you for the use of the Service that gave rise to the claim of liability.

The limitations set forth in this Section will not limit or exclude liability for the gross negligence, fraud or intentional misconduct of SIFF or the other SIFF Parties or for any other matters in which liability cannot be excluded or limited under applicable law. Additionally, some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you.

17. Release

To the fullest extent permitted by applicable law, you release SIFF and the other SIFF Parties from responsibility, liability, claims, demands and/or damages (actual and consequential) of every kind and nature, known and unknown (including, but not limited to, claims of negligence), arising out of or related to disputes between users and the acts or omissions of third parties. If you are a consumer who resides in California, you hereby waive your rights under California Civil Code § 1542, which provides: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.”

18. Transfer and Processing Data

In order for us to provide our Services, you agree that we may process, transfer and store information about you in the United States and other countries, where you may not have the same rights and protections as you do under local law.

19. Dispute Resolution; Binding Arbitration

Please read the following section carefully because it requires you to arbitrate certain disputes and claims with SIFF and limits the manner in which you can seek relief from us, unless you opt out of arbitration by following the instructions set forth below. No class or representative actions or arbitrations are allowed under this arbitration agreement. In addition, arbitration precludes you from suing in court or having a jury trial.

No Representative Actions. You and SIFF agree that any dispute arising out of or related to these Terms or our Services is personal to you and SIFF and that any dispute will be resolved solely through individual action, and will not be brought as a class arbitration, class action or any other type of representative proceeding.

Arbitration of Disputes. Except for small claims disputes in which you or SIFF seeks to bring an individual action in small claims court located in the county of your billing address or disputes in which you or SIFF seeks injunctive or other equitable relief for the alleged unlawful use of intellectual property, you and SIFF waive your rights to a jury trial and to have any dispute arising out of or related to these Terms or our Services resolved in court. Instead, for any dispute or claim that you have against SIFF or relating in any way to the Services, you agree to first contact SIFF and attempt to resolve the claim informally by sending a written notice of your claim (“Notice”) to SIFF by email at legal@siff.net or by certified mail addressed to SIFF Film Center; 305 Harrison Street; Seattle, WA 98109. The Notice must (a) include your name, residence address, email address, and telephone number; (b) describe the nature and basis of the claim; and (c) set forth the specific relief sought. Our notice to you will be similar in form to that described above. If you and SIFF cannot reach an agreement to resolve the claim within thirty (30) days after such Notice is received, then either party may submit the dispute to binding arbitration administered by JAMS or, under the limited circumstances set forth above, in court. All disputes submitted to JAMS will be resolved through confidential, binding arbitration before one arbitrator. Arbitration proceedings will be held in King County, Washington, unless you are a consumer, in which case you may elect to hold the arbitration in your county of residence in accordance with the JAMS Streamlined Arbitration Rules and Procedures (“JAMS Rules”). For purposes of this section, you will be deemed a “consumer” if you use the Services for your personal, family or household purposes. The most recent version of the JAMS Rules are available on the JAMS website and are hereby incorporated by reference. You either acknowledge and agree that you have read and understand the JAMS Rules or waive your opportunity to read the JAMS Rules and waive any claim that the JAMS Rules are unfair or should not apply for any reason.

You and SIFF agree that these Terms affect interstate commerce and that the enforceability of this Section will be substantively and procedurally governed by the Federal Arbitration Act, 9 U.S.C. § 1, et seq. (the “FAA”), to the maximum extent permitted by applicable law. As limited by the FAA, these Terms and the JAMS Rules, the arbitrator will have exclusive authority to make all procedural and substantive decisions regarding any dispute and to grant any remedy that would otherwise be available in court, including the power to determine the question of arbitrability. The arbitrator may conduct only an individual arbitration and may not consolidate more than one individual’s claims, preside over any type of class or representative proceeding or preside over any proceeding involving more than one individual.

The arbitrator, SIFF, and you will maintain the confidentiality of any arbitration proceedings, judgments and awards, including, but not limited to, all information gathered, prepared and presented for purposes of the arbitration or related to the dispute(s) therein. The arbitrator will have the authority to make appropriate rulings to safeguard confidentiality, unless the law provides to the contrary. The arbitration will allow for the discovery or exchange of non-privileged information relevant to the dispute. The duty of confidentiality does not apply to the extent that disclosure is necessary to prepare for or conduct the arbitration hearing on the merits, in connection with a court application for a preliminary remedy or in connection with a judicial challenge to an arbitration award or its enforcement, or to the extent that disclosure is otherwise required by law or judicial decision.

You and SIFF agree that for any arbitration you initiate, you will pay the filing fee (up to a maximum of $250 if you are a consumer), and SIFF will pay the remaining JAMS fees and costs. For any arbitration initiated by us, we will pay all JAMS fees and costs. You and SIFF agree that the state or federal courts of the State of Washington and the United States sitting in King County, Washington have exclusive jurisdiction over any appeals and the enforcement of an arbitration award.

Any claim arising out of or related to these Terms or our Services must be filed within one year after such claim arose; otherwise, the claim is permanently barred, which means that you and SIFF will not have the right to assert the claim.

You have the right to opt out of binding arbitration within 30 days of the date you first accepted the terms of this Section by sending your notice of opting out by email to info@siff.net or by certified mail addressed to SIFF Film Center; 305 Harrison Street; Seattle, WA 98109.

In order to be effective, the opt-out notice must include your full name and address and clearly indicate your intent to opt out of binding arbitration. By opting out of binding arbitration, you are agreeing to resolve disputes in accordance with Section 20.

If any portion of this Section is found to be unenforceable or unlawful for any reason, (a) the unenforceable or unlawful provision shall be severed from these Terms; (b) severance of the unenforceable or unlawful provision shall have no impact whatsoever on the remainder of this Section or the parties’ ability to compel arbitration of any remaining claims on an individual basis pursuant to this Section; and (c) to the extent that any claims must therefore proceed on a class, collective, consolidated, or representative basis, such claims must be litigated in a civil court of competent jurisdiction and not in arbitration, and the parties agree that litigation of those claims shall be stayed pending the outcome of any individual claims in arbitration. Further, if any part of this Section is found to prohibit an individual claim seeking public injunctive relief, that provision will have no effect to the extent such relief is allowed to be sought out of arbitration, and the remainder of this Section will be enforceable.

20. Governing Law and Venue

Any dispute arising from these Terms and your use of the Services will be governed by and construed and enforced in accordance with the laws of Washington, except to the extent preempted by U.S. federal law, without regard to conflict of law rules or principles (whether of Washington or any other jurisdiction) that would cause the application of the laws of any other jurisdiction. Any dispute between the parties that is not subject to arbitration or cannot be heard in small claims court will be resolved in the state or federal courts of Washington and the United States, respectively, sitting in King County, Washington.

21. Modifying and Terminating our Services

We reserve the right to modify our Services or to suspend or stop providing all or portions of our Services at any time. You also have the right to stop using our Services at any time. We are not responsible for any loss or harm related to your inability to access or use our Services.

22. Severability

If any provision or part of a provision of these Terms is unlawful, void or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.

23. Miscellaneous

The failure of SIFF to exercise or enforce any right or provision of these Terms will not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. Except as otherwise provided herein, these Terms are intended solely for the benefit of the parties and are not intended to confer third-party beneficiary rights upon any other person or entity. You agree that communications and transactions between us may be conducted electronically.

  • (h) Use any data mining, robots or similar data gathering or extraction methods designed to scrape or extract data from the SIFF Web Services;
  • (i) Develop or use any applications that interact with the SIFF Web Services without our prior written consent;

  • (k) Use the SIFF Web Services for any illegal or unauthorized purpose, or engage in, encourage or promote any activity that violates these Terms; or
  • (l) Violate our Harassment Policy outlined in Section 39.

Enforcement of this Section is solely at SIFF's discretion, and failure to enforce this section in some instances does not constitute a waiver of our right to enforce it in other instances. In addition, this Section does not create any private right of action on the part of any third party or any reasonable expectation that the Services will not contain any content that is prohibited by such rules.

26. Ownership; Limited License

The SIFF Web Services, including the text, graphics, images, photographs, videos, illustrations and other content contained therein, are owned by SIFF or our licensors and are protected under both United States and foreign laws. Except as explicitly stated in these Terms, all rights in and to the Services are reserved by us or our licensors. Subject to your compliance with these Terms, you are hereby granted a limited, nonexclusive, nontransferable, non-sublicensable, revocable license to access and use our Services for your own personal, noncommercial use. Any use of the Services other than as specifically authorized herein, without our prior written permission, is strictly prohibited, will terminate the license granted herein and violate our intellectual property rights.

27. Third-Party Content

We may provide information about third-party products, services, activities or events, or we may allow third parties to make their content and information available on or through the Services (collectively, “Third-Party Content”). We provide Third-Party Content as a service to those interested in such content. Your dealings or correspondence with third parties and your use of or interaction with any Third-Party Content are solely between you and the third party. SIFF does not control or endorse, and makes no representations or warranties regarding, any Third-Party Content, and your access to and use of such Third-Party Content is at your own risk.

28. Online Ordering & Availability

After you place an Order through the SIFF Web Services, we will send you a confirmation email (the “Order Confirmation”). We strive to provide accurate pricing information, but we cannot insure against pricing errors. We reserve the right, at our sole discretion, to not process or to cancel any Orders placed for a Product whose price was incorrectly posted as a result of an error. If this occurs, we will notify you by email. The SIFF Web Services may contain information regarding the availability of Products. In rare cases, a Product may be in stock when you place the Order and sold out by the time we attempt to process the Order. Should this happen, we will notify you by email and cancel the item from your Order.

THEATER POLICIES

The following theater policies apply to events held at SIFF Cinema Venues and will generally apply to all SIFF Year-Round Program and SIFF Film Festival events. Relevant portions of our Theater Policies will also apply to all online event offerings. For SIFF Film Festival events held at other venues, please check with the manager of the venue to see if different policies apply. For questions regarding SIFF’s theater policies, please email info@siff.net.

29. Programming

SIFF Year-Round Program and SIFF Film Festival events are subject to change. Please see https://www.siff.net/ for updates. During the SIFF Film Festival, changes and updates will be posted on the SIFF website.

Unless otherwise noted, films are shown in their original language with English subtitles and are not rated. Viewer discretion is advised.

30. Seating for Ticket and Pass Holders

Before seating a Ticket or Pass holder (collectively “Patrons”), for in person events the Ticket or Pass being used for entry must be scanned. Patrons not willing to have their Ticket or Pass scanned will be refused entry. Patrons may also be required to show ID.

Seating for Ticket holders is guaranteed until 10 minutes prior to the SIFF Year-Round Program or SIFF Film Festival event for which the Ticket was issued. Because SIFF will begin selling Tickets to the standby line 10 minutes prior to an event, Ticket holders arriving less than ten minutes before an event are not guaranteed a seat. For this reason, it is recommended that attendees arrive at least 30 minutes before events start. All sales are final, and no refunds or exchanges will be given to Ticket holders turned away due to late arrival.

Seating for Pass holders is guaranteed until 10 minutes prior to the SIFF Film Festival or SIFF Year-Round Program event included in the Pass or until the Passholder Allotment is reached. If Passholder Allotment is reached, Pass holders will be seated on a space available basis following the seating of Ticket holders before standby tickets are sold. All sales are final, and no refunds or exchanges will be given to Pass holders turned away due to the Passholder Allotment being reached.

For virtual events and screenings, admission will be assessed in the order Patrons join the event.

31. Standby

When Tickets are no longer available for an in-person event, a limited number of standby tickets may become available at the door. When offered, patrons can join the standby line for a chance to purchase these additional Tickets. Standby Tickets are sold on a first-come, first-serve basis, depending on available seats and are governed by the same terms that apply to Tickets. Email info@siff.net for availability.

32. Late Seating & Re-entry

SIFF will not sell Tickets or seat Patrons once an in-person event has begun. Any exception to the late seating policy is at the discretion of the manager of the SIFF Cinema Venue or other venue where the SIFF Film Festival event is being held.

Anyone exiting a SIFF Cinema Venue with plans to return must have their Pass or Ticket stub on them. Re-admit stamps may be administered at the discretion of the SIFF Cinema Venue staff. Stamps are unique to each event.

33. Exiting

All Patrons must exit the SIFF Cinema Venue or other venue where an in-person SIFF Film Festival event is being held following each event. Leaving belongings and saving seats between events is not allowed. Exceptions may be made for mobility-impaired Patrons and is at the discretion of the manager of the SIFF Cinema Venue or other venue where the SIFF Film Festival event is being held.

34. Children

Children under six years old will only be admitted to Films4Families in-person events unless otherwise noted. When permitted, children must occupy their own seats. Children who cannot sit in a seat by themselves will not be admitted. Admission will be at the discretion of the manager of the SIFF Cinema Venue or other venue where the SIFF Film Festival event is being held.

35. Electronic Devices

During SIFF Year-Round Program or SIFF Film Festival events you will turn off and put away all electronic devices. The use of electronic devices, including but not limited to mobile phones, tablets, laptop computers, cameras or other video or audio recording devices, is strictly prohibited.
SIFF reserves the right to inspect all bags and packages you bring to a SIFF Cinema Venue or other venue where a SIFF Film Festival event is being held. For both in person and virtual events, the unauthorized reproduction or distribution of a copyrighted work is illegal. Criminal copyright infringement, including infringement without monetary gain, is investigated by the FBI and is punishable by up to 5 years in federal prison and a fine of $150,000.

36. Washington State Liquor and Cannabis Board Regulations

Valid photo ID is required for purchase of any alcoholic beverages. SIFF retains the right to refuse service.

Smoking is strictly prohibited within SIFF Cinema Venues and other venues where SIFF Film Festival events are being held, including e-cigarettes & vapor products.

Some SIFF events are strictly 21+ in accordance with the Washington State Liquor and Cannabis Board regulations. Valid photo ID may be required for admittance to those events. See Washington State Liquor and Cannabis Board website for all accepted forms of ID.

37. Weapons Policy

SIFF strictly enforces the weapons policy in the House Rules posted at SIFF Cinema Venues and other venues where SIFF Film Festival events are being held. SIFF reserves the right to refuse service.

38. Accessibility

SIFF strives to be an accessible organization and is working towards ensuring all patrons are able to access our SIFF Year-Round Program and SIFF Film Festival events. Learn more about our efforts on our Accessibility page. We welcome and encourage all feedback and suggestions in our efforts to provide reasonable accommodation.

39. Harassment

SIFF is dedicated to providing a harassment-free experience for EVERYONE, regardless of gender, gender identity & expression, age, sexual orientation, disability, physical appearance, body size, race, ethnicity, or religion. SIFF will absolutely not tolerate harassment in any form, including at any of our online events or in chat rooms or forums. Harassment includes but is not limited to:

If they do not, SIFF reserves the right to remove them from events and bar them from future events without a refund. Harassment claims will be dealt with on a case-by-case basis, at the discretion of SIFF management.
